Sales - transfer of company

The transfer of your business venture does not stop you from being a merchant. If you have not transferred the business with the company, you may continue to do business under the same business. The one you transferred may be a merchant and expand your business, and may not be what you want with the business. Along with the new owner, you continue to be responsible for the obligations of the business entity after you have transferred it. This is because creditors of liabilities that arose prior to the transfer of the business have the opportunity to request their performance by you or the new owner. Joint and several liability cannot be excluded by a clause in your contract because it is expressly regulated by law. You and your contractor can understand the obligations. For example, pay them off equally or you perform one part and the contractor does another. By law, the contractor is obliged to manage the separately acquired commercial enterprise for 6 months. This means having separate accounting from that for his other assets. Neither you nor the creditors nor the transferor can negotiate a term other than these 6 months. Creditors are entitled to claim liability from the new owner if the obligation for separate management is not fulfilled. After 6 months, creditors are again able to claim what is due, but will not be able to enjoy the privileges provided by law within the time limit.
