The capital of a company

    When forming a new business company, each future partner gives something to be the basis of future business activity. That is, partners make cash or non-cash contributions when registering a company. Equity is subdivided into shares or shares and, according to who, what contributions it made, is allocated to each shareholder. In OOD, the shares may be different in size. The minimum size is 1 BGN. In AD, they can only be of equal value. Again the minimum is BGN 1. The memorandum or articles of association must state what capital is, because the law requires it. Also, by law, some of the capital must be paid if you want your company to be listed in the commercial register. At OOD, if you have registered the company with a capital above the established minimum and want to enter it in the commercial register, you need to pay at least 70% of the capital. Not every share needs to be given 70%. The minimum amount of capital at OOD is BGN 2. With AD it is a little different. At least 25% of the capital must be paid in here. But 25% of each share will be required. The minimum amount of capital at AD is BGN 50,000. The deadline for payment of the entire amount of the capital is up to 2 years after the incorporation of the company. Non-monetary contributions are not paid in full but in full. You, as a participant in the formation of the capital, are entitled to a percentage of the profit at distribution, which the company has made in the past year. You are also entitled to a percentage of its value upon termination of the company. And last but not least, you have the right to vote in the General Assembly. Of course, your voice has a weight equal to the size of the stake you own.
